Chief Legal Officer
The National Center for State Courts (NCSC) is an independent, non-profit court improvement organization. NCSC's services--consulting, information services, research, education, association management and technical--are focused on helping courts plan, make decisions, and implement improvements that save time and money, while ensuring judicial administration that supports fair and impartial decision-making.
The Chief Legal Officer supports the NCSC President in fulfilling the legal, regulatory and compliance requirements of the organization and provides legal guidance to the Executive Management Team on matters related to the on-going business operations or management issues.
Duties and Responsibilities:
The Chief Legal Officer's duties and responsibilities include but are not limited to the following:
Provides general legal advice and guidance on relevant legal matters affecting the NCSC, including policies, procedures, regulations and compliance in a wide range of operational areas;
Reviews contracts, leases, and other legal documents at the request of the President to ensure consistent contracting practices;
Provides the President with support for corporate governance including filing 501(c)3 documents, developing board agendas, drafting minutes and making recommendations regarding Board membership and bylaw revisions;
Staffs the NCSC Board Governance and Nominations Committee and conducts orientation for new Board members;
Coordinates NCSC awards nomination/selection process;
Maintains an institutional directory of contracts and grants;
Participates in decision to retain outside counsel;
Participates as a member of the internal Executive Management Team;
Serves as a member of the NCSC's retirement oversight committee; and
Serves as the Corporate Secretary.
Minimum Qualifications:
The following qualifications, at a minimum, are required to successfully perform the duties of the Chief Legal Officer position.
Possession of a college degree and a law degree from an accredited institution and a licensed to practice in the Commonwealth of Virginia;
Eight or more years of relevant legal experience that includes providing legal counsel on management or corporate issues;
Demonstrated experience writing for and presenting to governing bodies and diverse audiences;
Demonstrated leadership and administrative management ability;
Knowledge of the judicial system's procedural processes and operational processes;
Interpersonal skills that demonstrate the ability to establish, cultivate and maintain relationships with individuals and groups relevant to the work of the NCSC; and
Ability to travel overnight periodically.
